Proposal presented by: T&A Property Development

This interior design contract being entered into on 2022/14/11 between T&A Property Development Ltd (Service Provider) and Chicken Shack Restaurant (Client) hereafter known as “The Parties”.

Whereas the Client has expressed an interest in interior design services and the Service Provided is experienced and able to provide such interior design services,

Whereas the Client has agreed to enter to this interior design contract with the Service Provider of their own free will,

The Parties hereby agree to accept the following as terms pursuant to this interior design contract.

Description of Services

This interior design contract is inclusive of the following services:

  • Programming
    • 1 × Site Visit and Full Survey (Completed)
    • Receipt of the Client’s Requirements (Completed)
  • Schematics (Phase-1)
    • Overall Plan Complete with Sketches and Renders (Completed)
  • Schematics (Phase-2)
    • Receipt of the Client’s Comments and Amendments (Revision 1)
  • Drawing
    • Preliminary Drawings, Including General Plan, Floor and Ceiling Plans, Elevations, Lighting Plan, Shop Name Board Design and Revised Renders

Note: The drawings are for information only and the builder is required to check all dimensions on-site and propose materials with commercial use specifications prior to any construction work.

All interior design services listed above shall be completed according to the schedule below:

Programming (Completed)
Schematics (Phase-1) (Completed)
Schematic (Phase-2) One Working Week after Receipt of the Advance Payment
Drawing Two working weeks after receipt of the Client’s comments on schematics

 

Payment

Payment will be accepted in the form of bank transfer to the Service Provider’s account.

Total value of this contract is £2,500 (say two thousand five hundred GBP), which will be paid according to the following schedule:

 

Advance Payment £ 1,000
After the Schematics (Phase-2) £ 750
Prior to Delivery of Final Drawings and Revised Renders £ 750

Any payments not received within 10 days after receipt of the invoice will be considered late.

Late payments will be subject to a 10% late fee, in addition to any fees incurred by the Service Provider in collecting payment for services rendered.

 

Confidentiality

The Service Provider as well as individuals representing the Service Provider shall not under any circumstances divulge or communicate any client information which can reasonably considered private or confidential.

Violation of this confidentiality clause shall be grounds for legal actions against the offending party.

Drawings, specifications and schedules are and shall remain the property of the Service Provider, whether the project for which they are made is executed or not. The Client shall be permitted to retain copies of drawings and specifications for information and reference in connection with use and occupancy of the project. The Client shall not use the drawings and specifications on other projects, for additions to this project, or for completions of this project by others, except by agreement in writing.

The Service Provider reserves the right to take photographs of the project areas prior to, during, and at the completion of the project with due respect to the Client’s privacy. The Client’s identity shall remain confidential and shall not be disclosed to any third party without prior consent of the Client. The Service Provider shall be named and credited if any descriptions or photographs of the project are published.

 

Indemnification

The client agrees to hold the Service Provider harmless in the instance of injury, loss, or damages beyond the Service Provider’s control during this contract term.

 

Remedies

Any damages awarded due to willful misconduct or gross negligence by either party shall be limited to the total financial amount listed in this design contract.

 

Force Majeure

In the event an act of God or an occurrence outside of the parties’ control takes place and prohibits fulfillment of this contract, the parties will be responsible for notifying one another in a timely manner.

Upon notification, measures shall be taken to allow this contract to be completed, including changes to the agreement end date as well as the allowance of another provide to complete any portions the Service Provider is unable to complete.

If any acts that are beyond either party’s control interfere with the completion of the listed services, the Service Provider shall be entitled to payment for services rendered up to that point in time. No matter losses or damages will be granted to either party.

This interior design contract shall be judged in accordance with the laws of England.

Entire Agreement

This interior design contact and its attachments in their entirety shall service as the whole agreement between the parties.

Furthermore, this contract shall supersede any and all previous agreements whether verbal or written.

Surviving Agreement

If any terms or conditions set forth in this interior design contract are found to be invalid or unenforceable, the parties shall replace that term with one of close similarity.

The replacing of any term or conditions as mentioned above shall not void or terminate this contract under any grounds.

Additionally, failure by either party to uphold or enforce any aspect of this interior design contract shall not constitute a waiver of any other aspect of the contract, and the contract shall remain in full effect.

Amendment

This contract may not be modified except in writing with signature by both parties.
